Participant Confidentiality & Non-Use Agreement

Universal Participation Agreement

This Universal Participation Agreement (the “Agreement”) is entered into between GBBB LLC dba The Novelist Studio (“Company”) and the undersigned participant (“Participant”) as a condition of participation in the Company’s programs, including but not limited to the Boot Camp and the Masterclass. Certain provisions of this Agreement apply only to participants with direct access to proprietary GPT personas (Simone, Olivia, Ellis). If you are attending the Boot Camp only, those provisions may not apply, but all participants are bound by the confidentiality, ownership, and restrictions described herein.

1. Scope of Access

- Boot Camp participants: Access is limited to educational content, frameworks, and guided exercises.

- Masterclass participants: In addition to educational content, Participant may be granted temporary, limited access to proprietary custom GPT personas (Simone, Olivia, Ellis) solely for educational purposes within the Masterclass program.

- Access is non-transferable, non-sublicensable, and automatically expires at the conclusion of the applicable program.

2. Restrictions

- Participant shall not copy, reverse engineer, attempt to recreate, or distribute the personas, prompts, or system instructions (applies to Masterclass participants).

- Outputs generated are for Participant’s personal creative projects only and may not be sold, sublicensed, or distributed to third parties (including clients).

- Boot Camp and Masterclass participants shall not redistribute teaching materials, frameworks, or course content outside the program.

3. Confidentiality

- All system prompts, workflows, frameworks, and teaching materials provided or revealed during the program are Company trade secrets and confidential information.

- Participant agrees not to disclose, publish, or otherwise share such confidential information outside the program.

4. Ownership

- Company retains all rights, title, and interest in the GPT personas, prompts, workflows, and related intellectual property.

- Participant retains ownership of their individual creative works generated during the program sessions, excluding the underlying methods, prompts, and personas.

5. Termination

- The Company reserves the right to revoke access immediately upon breach of this Agreement.

- Access credentials will be automatically disabled upon completion of the Masterclass (if applicable).

6. Optional Non-Competition

- Participant agrees not to create, market, or operate a competing program using AI personas for a period of twelve (12) months following the conclusion of the Masterclass, unless otherwise agreed in writing. (Applies to Masterclass participants only)

7. Watermarking and Attribution

- Course materials and outputs may contain visible branded attribution and/or invisible metadata watermarking to reinforce Company ownership and discourage unauthorized redistribution.

- By participating, Participant acknowledges and agrees to such watermarking and attribution.

8. General Provisions

- This Agreement is binding upon execution by the Participant via electronic acceptance during program enrollment (including Kajabi checkout workflows).

- This Agreement shall be governed by the laws of the State of Colorado.
